    Terms of Use

    1. Acceptance of Terms

    By accessing or using the Expona platform, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree, you may not use the Service. If you are accessing and using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will refer to that entity.

    2. Description of Service

    Expona is an AI-powered platform that enables business professionals — including marketers, salespeople, consultants, business developers, and customer success teams — to create buyer personas, plan campaigns, generate content, and interact with Lumi, our AI assistant. The Service includes web-based tools, AI-generated outputs ("Generated Content"), and secure workspace environments.

    The Service utilizes third-party artificial intelligence models and services (including but not limited to models provided by Anthropic, OpenAI, and Groq) to power Lumi and other AI features. Your use of the Service is also subject to any applicable usage policies of these upstream AI providers.

    3. Account Registration

    You may use the Service only if you are 18 years or older and capable of forming a binding contract with Expona. You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

    4. Subscriptions & Billing

    Expona offers subscription-based plans (Solo, Operator, and Director) billed monthly. By subscribing, you authorize us (or our third-party payment processor) to charge your payment method on a recurring basis until you cancel.

    • You may upgrade or downgrade your plan at any time. Changes take effect at the start of your next billing cycle.
    • Cancellations take effect at the end of the current billing period. No partial refunds are issued for unused time.
    • We reserve the right to modify pricing with 30 days' advance notice.
    • All payments are non-refundable except as expressly provided in these Terms. All fees and applicable taxes are payable in United States dollars.

    5. Free Trials

    We may offer qualifying users a free trial ("Free Trial") for a specified period. The specific terms of your Free Trial will be provided at signup. Unless you cancel your subscription prior to the end of the Free Trial period, your payment method will be automatically charged the applicable subscription fee on a recurring monthly basis. To avoid charges, you must cancel before the Free Trial expires. Instructions for cancelling are available in your account settings or by contacting us at support@expona.ai.

    6. Acceptable Use

    You agree not to use the Service to:

    • Violate any applicable law or regulation
    • Infringe on the intellectual property rights of others
    • Transmit malicious code, spam, or harmful content
    • Attempt to gain unauthorized access to any part of the Service
    • Reverse-engineer, decompile, or disassemble any aspect of the platform
    • Use AI-generated outputs to mislead, deceive, or cause harm
    • Collect or store personally identifiable information from other users without their express permission
    • Use the Service in a way that violates the acceptable use policies of our upstream AI model providers

    7. AI-Specific Usage Restrictions

    In addition to the general acceptable use requirements above, you specifically agree not to:

    • Represent AI-generated content as exclusively human-authored in contexts where such disclosure is required by law, regulation, or industry standard
    • Use the Service to generate content for electoral campaigns, political disinformation, or voter manipulation
    • Use the Service to generate spam, phishing content, or material designed to deceive recipients about its origin
    • Attempt to extract, discover, or reverse-engineer underlying AI model weights, system prompts, training data, or algorithmic behavior
    • Upload or process Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA)
    • Use AI-generated outputs to make automated decisions that materially affect individuals (such as employment, credit, or insurance decisions) without meaningful human review
    • Attempt to circumvent any rate limits, usage caps, or safety measures implemented by Expona or its AI model providers
    • Use the Service to impersonate real individuals or create deceptive synthetic identities

    8. Your Content & Data

    You retain ownership of all content you create within Expona, including company profiles, personas, campaigns, and other workspace artifacts ("User Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display your User Content solely to provide and improve the Service. We do not use your workspace data to train AI models. You represent and warrant that you have all necessary rights to your User Content and that it does not infringe any third party's intellectual property rights.

    9. AI-Generated Content

    Expona and Lumi generate content using artificial intelligence ("Generated Content"). Subject to your compliance with these Terms, Expona grants you a non-exclusive, worldwide license to use, copy, modify, and distribute Generated Content for your lawful business purposes.

    You acknowledge and agree that:

    • Generated Content is produced by AI models and may contain errors, inaccuracies, or biases. You are responsible for reviewing and validating all Generated Content before use.
    • Generated Content may not be unique — other users may receive similar or identical outputs from similar inputs.
    • Expona does not guarantee that Generated Content will not infringe third-party intellectual property rights. You assume responsibility for your use of Generated Content.
    • Expona does not guarantee the accuracy, completeness, or fitness of Generated Content for any particular purpose.
    • Ownership of AI-generated outputs may be subject to evolving legal standards. Expona makes no representations regarding the copyrightability or intellectual property status of Generated Content.

    10. Workspace Access

    Your workspace is private to your account. You may invite others to view your workspace in a read-only capacity, but invited users cannot generate personas, campaigns, or content. You are responsible for managing who has access to your workspace.

    11. Feedback

    We appreciate feedback, comments, ideas, proposals, and suggestions for improvements to the Service ("Feedback"). If you choose to submit Feedback, you agree that we are free to use it without any restriction or compensation to you. You hereby grant Expona a non-exclusive, perpetual, irrevocable, royalty-free license to use and incorporate your Feedback into the Service.

    12. Intellectual Property

    The Expona platform, including its design, code, branding, AI models, and documentation, is owned by Expona and protected by intellectual property laws. Nothing in these Terms grants you rights to use our trademarks, logos, or brand assets without prior written consent.

    13. Third-Party Services & Links

    The Service may integrate with or contain links to third-party websites, services, or resources. We provide access only as a convenience and are not responsible for the content, products, or services available from those resources. You acknowledge sole responsibility for, and assume all risk arising from, your use of any third-party resources.

    14. Indemnification

    You will indemnify and hold Expona, its affiliates, and each of their officers, directors, employees, and agents harmless from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) your User Content, (c) your use of Generated Content, (d) your violation of these Terms, or (e) your actual or alleged infringement of any third party's intellectual property or proprietary rights.

    15. Limitation of Liability

    To the maximum extent permitted by law, Expona shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or damages for lost profits, lost revenues, lost savings, loss of data or goodwill, service interruption, or the cost of substitute services, arising out of or in connection with these Terms or from the use of or inability to use the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Expona has been informed of the possibility of such damage.

    Expona's total liability arising out of or in connection with these Terms or from the use of the Service shall not exceed the amounts you have paid to Expona for use of the Service in the 12 months preceding the claim, or one hundred dollars ($100) if you have not had any payment obligations to Expona.

    16. Disclaimer of Warranties

    The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any Generated Content or other information provided through the Service.

    17. Termination

    We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may cancel your account at any time by contacting us at support@expona.ai.

    Upon any termination, discontinuation, or cancellation of the Service or your account, we will delete your workspace data within 30 days, except where retention is required by law. The following sections will survive termination: 8 (Your Content & Data), 9 (AI-Generated Content), 11 (Feedback), 12 (Intellectual Property), 14 (Indemnification), 15 (Limitation of Liability), 16 (Disclaimer of Warranties), 18 (Dispute Resolution), 19 (Governing Law), and 21 (General Terms).

    18. Dispute Resolution

    Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall first be resolved through good-faith negotiation between the parties for a period of at least thirty (30) days. If the Dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect.

    The arbitration shall be conducted by a single arbitrator in Salt Lake County, Utah, unless the parties mutually agree to a different location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

    You and Expona agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

    As limited exceptions: (i) either party may seek to resolve a Dispute in small claims court if it qualifies; and (ii) each party retains the right to seek injunctive or other equitable relief from a court to prevent infringement or misappropriation of intellectual property rights.

    19. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict of law principles. Subject to the arbitration provisions in Section 18, the exclusive jurisdiction for any Disputes not subject to arbitration shall be the state and federal courts located in Salt Lake County, Utah.

    20. Changes to These Terms

    We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. We may also send other communications regarding material changes. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of the Service.

    21. General Terms

    • These Terms constitute the entire agreement between you and Expona regarding the Service and supersede all prior agreements.
    • If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
    • Expona's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
    • You may not assign or transfer these Terms without Expona's prior written consent. Expona may freely assign or transfer these Terms.
    • Any notices provided by Expona under these Terms will be given via email or by posting to the Service.
